1. Acceptance of Terms

By registering for or using Phoenix Swap ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). Phoenix Swap is operated by Phoenix Financial Services LLC, a company registered in Georgia (country). If you do not agree to these Terms, you may not access or use the Platform.

2. Eligibility

You must be at least 18 years old and a resident of Georgia (country) to use the Platform. By using the Platform, you represent and warrant that you meet these requirements and that you have the legal capacity to enter into a binding agreement.

3. Services

Phoenix Swap provides a non-custodial cryptocurrency brokerage service facilitating the exchange between USDT, USDC, and Georgian Lari (GEL). We act as a broker and do not hold your funds beyond the minimum time necessary to complete a transaction.

• Buy USDT or USDC with GEL via bank transfer
• Sell USDT or USDC for GEL received to your bank account
• All transactions are subject to KYC/AML verification

4. KYC / AML Requirements

In compliance with Georgian anti-money laundering regulations, all users must complete identity verification (KYC) before executing transactions. You must provide accurate, complete, and current identification documents. We reserve the right to refuse service or suspend accounts that fail KYC checks or appear on sanctions lists.

5. Orders and Rates

Exchange rates are locked for a limited period (typically 15 minutes) upon order creation. If payment is not received within this window, the order may expire and be cancelled. We are not liable for rate fluctuations between order creation and payment receipt.

We charge a spread on all transactions, which is incorporated into the displayed exchange rate. No hidden fees are applied. Network fees for blockchain transactions are charged at cost.

6. Prohibited Activities

You agree not to use the Platform for:

• Money laundering, terrorist financing, or any other illegal activity
• Transactions on behalf of third parties without disclosure
• Providing false or misleading identity information
• Any attempt to manipulate, hack, or disrupt the Platform
• Transactions involving sanctioned individuals, entities, or jurisdictions

7. Risk Disclosure

Cryptocurrency trading involves significant risk. The value of digital assets is highly volatile and can decrease substantially. Past performance is not indicative of future results. You should only trade with funds you can afford to lose. Phoenix Swap does not provide investment advice.

8. Limitation of Liability

To the maximum extent permitted by Georgian law, Phoenix Swap shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability to you for any claim shall not exceed the fees paid by you in the 30 days preceding the claim.

9. Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms or applicable law. You may close your account at any time by contacting support. Pending orders will be completed or refunded before closure.

10. Governing Law

These Terms are governed by the laws of Georgia (country). Any disputes shall be resolved in the courts of Tbilisi, Georgia.
